With the coming of the full-speed development of knowledge economy and information Economy In the 21st century, human capital has been becoming one of the most dramatic focuses in market competion. It has been the most realistic problem we arc facing up how to combine the future strategy, aim and development of enterphscs, how to integrate the resources of enterprises, how to build reasonable incentive system, alld how to establish the union of benefit with employees, so as to achieve the long-term and stable development. Reseach on these issues is meaningful not only for building the high-efficiency incentive system, but also for building up the core competence of enterprises.Based on the results of previous theory of human captial, this paper issustrales that firm is the contractual web formed by owners of material capital and human capital respectively. After defining the human capital, this paper will build uphe analysis frame of human capital anticipating in the shares of enterprises benefits, in light of which the conclusion will be drawn that human capital must anticipate in the shares of enterprises benefits.At last, according to the situations and problems encountered by human capital anticipating in the shares of China's enterprises benefits, the paper will make the policy suggestion about how to implement human capital anticipating in the shares of enterprises benefits.
