Modern market economy is mainly consist of enterprises which are in free competition, and enterprises must be managed by entrepreneurs. That's to say, no entrepreneurs, no real enterprises. Entrepreneurs are so important to a country's economy development that it 's very meaningful to study how to appraise the value of the entrepreneurs and on this basis , how to adopt related incentive measure, in order to make entrepreneurs give full play to their talents and make contribution to the development of Chinese market economy.Through analyzing the importance of entrepreneur to enterprise and economy development , this article explain the concept of entrepreneur and entrepreneur talent, discuss the constitution of entrepreneur value and point out the difference between entrepreneur and common labor is that entrepreneur has creation value but common labor not. After analyzing market-priced mechanism of entrepreneur value, this article revise the model of income present value, and create the model of value contribution. The appraisal mechanism of entrepreneur talent is the basis of knowing entrepreneur value and putting forward relevant incentive measure.Aimed at current low efficiency of incentive-constraint mechanism to enterprise senior manager, this article put forward relevant incentive mode and measure in different development stage of enterprise, emphasize the importance of establishing long-term incentive system, and finally, use the case analysis to verify. The result is that the appraisal of entrepreneur talent is the basis of long-term incentive mechanism designing to senior manager. In different development stage of enterprise, the value of senior manager and the environment of enterprise fulfilling long-term incentive are usually different. Therefore, the enterprise long-term incentive mode must change according to environmental change.
