The article first part mainly introduced the incentive theory from the perspective ofentrepreneur inquiry and agency stimulus and surveillance entrepreneur ,and doesthe brief appraisal about them. The article second part analyzes the problem of driving entrepreneur. Because of someexisted special constraint conditions in the transitional period, for instance incompleteproperty right restraint, the environment restraint and so on, we can not adopt with theoverseas similar driving measures. These special constraint conditions have brought theproblems such as multi- trustees, trustee multi-objectives, moral risk and entrepreneurbehavior and so on. But these questions have the different influence about the entrepreneurstimulus. The article elaborates these influences. The third part propose the corresponding countermeasure and the suggestion toward howto establish the mechanism for stimulus and surveillance entrepreneur in the transitionalperiod in our country。The thesis constructs the entrepreneur excitation system, the fusion ofsubjective stimulus and the objective one, the fusion of the material drive and the non-material drive, the dynamic drive, and at the same time propose the suggestion aiming at theperfection about entrepreneur behavior, at the same time propose to establish and consummatethe internal entrepreneur mechanism and the entrepreneur market. Because the surveillancerestraint is an important constituent of the driving mechanism, finally the thesis produce andconsummate corresponding procedures and the countermeasure about the entrepreneurmonitoring system and moral risk behavior in the article.
