| At the end of the 2004, China's city urbanization rate have come to 40.6%. According to the experience of the developed countries, it has entered the acceleration stage. But compare it with those countries, or with equal level industrialized countries, it is late. The late urbanization obstructs the adjustment of Chinese industrial structure, even the further development of Chinese economyThe urbanization and the adjustment of industrial structure is two interaction process which are Cause and effect each other. The economy's development and the adjustment of industrial structure cause the development of the urbanization. They are reason of the urbanization. On the other hand, the substance of the urbanization is population and other main factors transfer from the agriculture to other industrials .It is root marking of the adjustment of industrial structure.This paper is exactly from these relations. At the first, introduces the theories about of the urbanization and the industrial structure. Secondly, describes relationship of interaction, especially of the mechanism about responding and feedback. On these foundation, point out the policy measures fit to further develop of china .Finally, the author makes Shanghai a case example and proceeds analysis. The author make a conclusion: If made Chinese economy develop fast and health, we must promote urbanization and adjustment of industrial to develop moderately and to totally win.In chapter 4, the author analyses the affect about adjustment of industrial structure to urbanization with object of labor force, funds and technique. And further more, investigations the promotion of urbanism to adjustment of industrial structure. In chapter 5, the author discusses Negative mechanism of responding and feedback between urbanism and adjustment of industrial structure, which caused by running before or late urbanization process and deviation industrial structure. Among them, the author brings up " empty" effect to rural.
