As the pillar of the national financial system, the shareholding system transformation of the solely state-owned commercial bank will offer reference function and theoretical direction to the reform of the state-run financial unit, guarantee the financial reform, an important way to protect the healthy development of financial circles, can promote the bank to enhance management level and efficiency, strengthen the competitiveness of the bank.The goal in research of the thesis is through analyzing, summarizing domestic and international relevant property rights theories and banks' current situations, put forward rational goal mode and effective step about shareholding system transformation, and make a overall dialectical to analyze the advantages and disadvantages that state-run commercial bank's listing face in the future.Take the theoretical research and real example to investigate, the research approach combine together in thesis, analyze and summarize some theories and views that put forward about shareholding system transformation of the solely state-owned commercial bank, make investigations in the development of banking and solely state-owned commercial bank, and concrete conditions carried on in shareholding system transformation.The main achievements are: (1) the conclusion of study on property right theory is that there is no optimum property structure, only is most suitable one. Whether a certain property right structure is optimum, depend on whether the bank adapts to it. The so-called "optimum" is relative, but not definitely. (2) The total guideline of shareholding system transformation is "one mode to one bank", and so extends out many kinds of different concrete goal modes. Synthesizing these goal modes finds the research in fact mainly concentrate on being reforming system of breaking and reforming system of wholly. Investigating through the two pilot banks, Bank of China and the Chinese Construction Bank, finds that they all finished reformation. The goal mode that the former adopts is to reform system wholly; the latter one adapts to breaks and reforms system.At present, to judge which kind of modes is the best one is much too early, but the reform of the above banks has offered very good model for reform of financial enterprises. (3) There are three steps of transformation of the solely state-owned commercial bank: the first is that at the request of modern enterprise system, to perfect the inside corporate governance structure of the state-run commercial bank; the second is that consult the management mode of the commercial bank in the world, change the form of national single investment, carry on shareholding system transformation to the state-run commercial bank; the third step, make the state-run commercial bank. The concrete operating steps of the shareholding system transformation all revolve round the property right reform, setting up company governance structure, forming the good financial affairs and take precautions mechanism against the inherent risk, implementing scientific, modernized management. (4) Though using the dialectical method to compare advantages and disadvantage of the listed bank face to, the conclusion is that there are more advantages than drawbacks. The disadvantages can be surmounted. And the state-run commercial bank will develop better after being listed.The above-mentioned research results have important meanings to accelerate the market-based process for stabilizing the country economically. And it also benefits the development of the bank.
