After ten year's practice, we seek out a whole set of the mode and structure of corporation father mode and its the running mechanism which adapt to our countries and some important achievement in theory in the field of state-owed enterprise. While it is still exist some problems in practice such lacking perfection in the structure of corporation father and the running mechanism, not enough healthiness in the mechanism inspirit and restriction, which lead to the running mode and mechanism is not enough perfect after restructuring.Further more, comparing with the general enterprise, the science and technology style company take on its particularity .So, based on the characteristic of such style company, we put up abundant studying on the restructuring, and designed the detailed project The main content is as follow:(1) Based on concluding the main problems in the restructuring of the state-owed enterprise, we analyzed the particularity of the science research institute and brought forward the general theories and methods in the reform, which included four parts: the key problem needed to be solved; the three key theories; the three modes; the structure, content and strategy of the project in the reform.(2) We brought forward the corporation father mode, structure of share and corporation father which the science research institute should select through studying the management system; at the same time, we also brought forward the improve measure to improve the efficient running of the company's corporation father.(3) We still brought forward how the science and technology style company built up the institutional system through the research on the management institutional system, then we conclude the structure and content of the company's management institutional system, finally we advanced the process and methods to build up the management institutional system with the main body activities and activities supported by management as the management factor, while the process as its leading factor. Such staff brings scientific method to the system building of the restructuring of company.(4) Based on the above conclusion, we designed the restructuring project of the Xinjing Petroleum Management Bureau Oil Extraction Institute, which included the total framework of the restructure, the structure of corporation father and runningscheme after restructuring, the project of inspirit and restriction for operator, the project of the management institutional system building.
