City commercial banks have developed more than ten years since 1995, and gradually have got rid of the initial crisis of survival. City commercial banks have embarked on a good development. However, many city commercial banks lack of consummate corporate governance. They still carry on the premier governance structure, or their governance structure couldn't fully meet the requirements of "Company Law" and "Commercial Bank Law" and other related guidance documents. This has seriously hampered the further development of city commercial banks. Besides, such laws as "Company Law" and "Commercial Bank Law " have not relevant provisions of the city commercial banks in corporate governance, which also hampers the city commercial banks improve the pace of corporate governance.Good corporate governance is the sustainable development foundation of the city commercial banks. This article discusses the theories of city commercial banks in corporate governance, contrast the corporate governance of foreign commercial banks, and analyse the status of the corporate governance of city commercial banks. Then the author propounds some suggestions on how to consummate the corporate governance of city commercial banks. This article is composed of four parts.The first part introduces the basic theoretical issues of the corporate governance of city commercial banks, defines corporate governance in the legal sense, and discusses the special nature of corporate governance of the commercial banks and city commercial banks.The second part contrasts the corporate governance model of the foreign commercial banks, which include of Anglo-American model, German-Japanese model, and Family-Governance in Southeast Asia. And the author gets the inspiration on the corporate governance of city commercial banks.The third part mainly analyses the status quo of city commercial Banks in China corporate governance, and points out the constructing flaws of the shareholders' meeting, board of directors and the board of supervisors, and the defects in the information disclosure mechanism and incentive mechanism. At last this part analyses the causes of these defects.In the last part, the author puts forward some suggestions on corporate governance of city commercial banks and to establish proposed external environment for good corporate governance.
