On Legal Issue Of Corporate Governance In City Commercial Bank

In commercial banks systems of developed countries, There are large banks, middle banks, small banks exist, among which Community Banks of American, small banks of German, Local Banks of Japan developing well. Similar to small banks of foreign country, City Commercial Banks of China are the local joint-stock commercial banks which were set up in the basis of urban credit cooperatives and shared by the companies, residents and local financial investment stake. Since the first City Commercial Bank set up in 1995, there have more than one hundred and forty City Commercial Banks in our country, and Bank of Nanjing, Bank of Ningbo and Bank of Beijing three city commercial banks successfully listed. The development of urban commercial banks, enriches domestic financial system, promotes the level of financial service and optimizes a diversified financial system. China's city commercial banks after the reform and development had been made significant progress, playing an important role in supporting the local construction, and has been irreplaceable part in our country's bank system.China's city commercial bank is the product of the financial system in China, and sets up in the urban credit association foundation, also has many problems in the developing process, such as the company management structure is imperfect, the legal status of the board of trustees is not clear, of the powers of directors obligations need to be further improved, and so on. This paper analyze the problems of the governance structure that the Bank of Ningbo and the Bank of Changsha are facing with, and then found several measures.This article has three divisions. The first part is introduction, which described the banks of America and German, then introduce domestic small bank's history and current state of development. The second part mentioned the problems of City Commercial Bank's company governs by analyze city community banks'equity share, structure, the form of directors, salary system, information announcement and so on. The third part of this paper, it raised several strategies measures to improve the City Commercial Bank's company governs, such as draw into strategic invest, optimize equity share structure, pay attention to the effect of independence directors, make the salary system and information disclosure perfect.
