The company plays an important role in the modern market economy, As the World Bank President James D. Wolfensohn said: "the proper corporate governance as the national governance, is essential for the world economy". Since Berle & Means put forward the separation of ownership and control in the 1930s, the corporate governance has gradually attracted people's attention.Corporate governance affected by multiple factors, including the influence of politics, economy and culture etc, ethnic culture affects corporate governance is the key. This paper first from the Angle of system and culture, through the analysis of the relationship between the system and culture, found that cultural is first, the culture has meaning of orientation to system. And by the help of further research findings of corporate governance culture of subject choice behavior has an important guide significance, and further found in corporate governance culture has a profound influence on the path dependence. Through the above, this paper has basic theory, that ethnic culture and corporate governance in the relationship, ethnic culture is the mother of corporate governance and ethnic culture decide the choose and change of corporate governance.Known the relationship between ethnic culture and corporate governance, still need further analysis from the perspective of positivism, and analysis in the real world, for instance can support. The world is through two typical corporate governance modes, found that two modes is so big differences, cultural factors vital. Culture is the mother of system, ethnic culture through the influence of the people's choice of the corporate governance and the path dependence of the corporate governance, thus determines the choice and change of corporate governance. American countries pay more attention to protect personal interests, pursue individualism, equality, freedom of a distant Puritan tradition, with a strong spirit of adventure and pragmatic, and determines its corporate governance in focus on investor protection, highly decentralized equity structure, social public shareholders type, emphasize outside directors in internal management, with the emphasis of external management, merger, pay attention to short-term interests material incentive. But Germany countries are focused on protecting the collective interests, pursuing collective thought, emphasize the collective strength, with strong spirit of unity and cooperation , has a long tradition in autocratic rule and the family ,reflected in corporate governance in Germany and Japan, the company pays attention to protecting the interests of stakeholders, concentrated ownership structure, shareholders to bank and industrial company type, emphasize internal directors in internal management, lose external governance, emphasizing the company governance mechanism of the stability and spiritual stimulation to give priority to, pay attention to the long-term interests.Since the ethnic culture of corporate governance and change from theory and practice is the basis, so how to use this conclusion to perfect our corporate governance will need to be further analysis of the Chinese nation and the connections between corporate governance. The author found that, our national culture conclude collectivism spirit, heavy ethical filial piety, oneness, light and heavy righteousness, adhere to the people-centered concept, determines the corporate governance structure of equity in the highly centralized, nationa,bank and corporates is the mainly shareholders , corporate governance persue long-term interests, but also determines the internal management of the important role of internal directors, exterior governance of stable and incentive mechanism to emphasis on material incentive.The ethnic culture determines the corporate governance, so how to get rid of the negative factors for ethnic culture of corporate governance in China, the author thinks that the influence of ethnic culture can change to realize self, through the in-depth research found that ethnic culture's change can be overcome the thoughts of light property, handfree theory, YiYanTang and good people, and to improvet our corporate governance.
