Study On Network Voting System Of Shareholders

The establishment of voting right of shareholders reflects that the system of corporation law is designed to guarantee shareholders'control of company while maintaining a spirit of democracy. Yet as company and technology have developed and advanced constantly, the traditional on-site voting can not meet the demand of e-environment. To enable the corporate governance and related institution withstand the external environment, various kinds of relevant institution have came into being one after another, and the network voting by shareholders is one of them. This paper has focused on entire design of network voting institution in our country, and has employed comparative analysis and economic analysis and other analytical methods, and has mainly elaborated the basic theory, value and feasibility, current situation and experience overseas and shortage and improvement in our country and other contents of network voting. This paper has divided into five parts, organized in follow way:Part one has started with the basic theory of network voting by shareholders, and has mainly analyzed and formulated the conception, features, character and basic theory of network voting by shareholders, and has supported the analysis and discussion of the next part.Part two has started with value and imperfection of the network voting by shareholders, and has analyzed the feasibility of the network voting by shareholders and came to a conclusion.Part three has introduced and analyzed the current situation and experience overseas of network voting by shareholders, and has provided reference for network voting by shareholders in our country.Part four has started with the current situation and exiting provision of network voting by shareholders in our country, and has analyzed the exiting problem in network voting by shareholders in our country.Part five has discussed the perfection of specific content of network voting by shareholders in our country and has given some suggestions according to the problem above mentioned, and according to features of network voting by shareholders in our country and has used advanced experience overseas for reference as well.This paper has fully and accurately studied the network voting by shareholders, and has given some suggestions for perfection.All of that have certain significance for research and reference in constant perfecting and developing of practice and relevant law of network voting by shareholders in our country.
