The competition of market economy is essentially the competitions of enterprises, but to a certain extent, the competitions of enterprises are those between their administrators. In modern enterprises, how to set up effective encouragement and restraint mechanism and to arouse t he e nthusiasm o f administrator, is animportant problem inenterprise's reform. At present, the salary system of senior executive of state-run listed company of our country is not complete, imperfect. All these have caused the alienation of administrator's operation and a great deal of other questions. So setting up and perfecting the salary system of senior executive of state-run listed company that suits of our country enterprise background is urgent to be solved.The text combining the actual conditions of state-run listed company and regarding relevant theories as foundation stone, researches senior executive salary problem of state-run listed company by real example analyses.First, the thesis is on the basis of the thing that holds to these domestic and international academic trends of domain in an all-round way at first, to explain agency by agreement theory, manpower capital theory and management motivational theory, to analyze and comment administrator's salary incentive mechanism of domestic and international enterprises. These have done theory foreshadowing for positive research of the ensuing chapters and the studying of salary system.Secondly , according to certain sample principle , it collects one part of 2002 , 2003 data samples of state-run listed companies, carries on describing statistical analysis to senior executive's salary, branch trade and district of holding share stating etc.; To adopt plural linear return between senior executive's salary and enterprise achievement, state-owned stock proportion , senior executive in charge of shareholding ratio , company scale, in order to announce that manages the relation between salary and these four factors and relevant degree high; Combining the motivational theory of the salary it summarizes the result of study.Moreover, On the basis of the theory and real example ,the article manages the current situation of the senior executive salary of the state-run listed company and specific national conditions of our country, combines internal characteristic: scope of the enterprise , and managing performance ,etc. and external environment condition characteristic: enterprise location, trade, etc., uses external experience method for reference, it proposes and improves senior executive salary system of state-run listed company by strengthening senior executive long-term salary encourage, post consumption standardization, strengthening senior executive income countermeasure of ensuring etc.Finally, the thesis summarizes full text, puts forward that the content is more insufficient needing to further investigate because of study limitation and materials restriction. For instance the influence factor of the salary does not analyze overall, lacks such contents as enterprise's case study, etc.
