A Study On The Theory Of Stakeholders And Corporate Governance

This text has expounded the fact that the stakeholders participate in the co–governance mode of Chinese corporate governance. Corporate governance mode is that a set of systems of managing corporate business . Traditional theory of corporate governance follow the idea of "shareholders primacy",namely, think the residual claimancy and residual rights should all belong to shareholders , the manager must maximize and serve for the shareholder's profit only. But in near these decades, with economic globalization, this kind of governance mode is criticized by people. The traditional corporate governance mode declines day by day, stakeholders mode be favored by people. theory of stakeholders mode have inherent consistency with the theory of maximum of enterprise value in fact. The trend has appeared that merges each other between "England_American mode " and " Germany_Japan mode ", the change of its system reflects concretly in the concern of stakeholders. The inside and outside governance mechanism of Chinese corporation to be still perfect, and Co–governance mode that based on stakeholders theory is helpful to perfect the Chinese corporate governance. One of the ways to perfect corporate governance is to revise the law , pay close attention to the rights of the stakeholders in design of system, especially the worker's right to participate in should be ensured, in order to promote the setting-up of " harmonious society ". Besides preamble and conclusion, this text is divided into four chapters, describes briefly as follows. Chapter one describes the concept of corporate governance, has reviewed two kinds of typical modes of corporate governance, points out their developmental trend, Finally briefly appraises to it. The theory of stakeholders is described in chapter two, and concrete to mention the theory of human capital owner participates in corporate governance. Understand it is content of chapter three that the current situation of Chinese corporate governance , four defects of corporate governance are discussed mainly, and has pointed out the direction for the perfection of the system. In chapter four, I have expounded the fact with hard work that regard stakeholders as the visual angle, structure the mechanism of Chinese corporate governance. On the basis of expounding the stakeholders participate in the corporate governance by the law, the route of corporate governance participated by stakeholders is designed, put forward the legal countermeasure that the corporate governance of perfecting finally.
