Stakeholders In Corporate Governance Structure In The Logic Of Cooperation Research

Enterprise governance is the arrangement of enterprise's proprietary rights. There are two different theories. One is "Shareholder Primacy Theory" , the other is "Stakeholder Theory" . The former holds that the enterprise' s property came from material capital, so the stockholders should enjoy the enterprise' s proprietary rights. But the latter holds that all the stakeholders put assets to the enterprise, so they all should enjoy the enterprise' s proprietary rights. I prefer the latter theory. I make a thorough research on the "Stakeholder Theory" of the western countries and the enterprise governance of Chinese state - owned enterprises, integrating with the actual status of Chinese enterprises' reforming, basing on the current achievements in the relevant realms and focus on the corporation mode enterprises. I mainly study the concept of stakeholders, the claims of stakeholders, the enterprise governance of the cooperation of stakeholders, the enterprise governance of Chinese state-owned enterprises.The content of the paper can be divided into four parts. The first part is introduction. I discuss the origin of the theory of stakeholders, the domestic and international literature regarding the theory, the scope, research objectives and research methods of the dissertation. The second part is the essential theory of stakeholders, including the evolution of stakeholders, the concept of stakeholders, the claims of stakeholders. The third part is the enterprise governance of the cooperation of stakeholders. The fourth part deals with the enterprise governance of Chinese state- owned enterprises. I talk about the problems and corresponding solutions in Chinese state - owned enterprises.
