On the background of financial globalization, such rising nations and areas as Korea, India, Brazil and Taiwan, where the capital account isn't yet liberalized completely, come gradually through the internationalization of securities market by conduction of Qualified Domestic Institutional Investor(QDII)system. It is of importance to make research and carry out QDII system in aspect of politic, economy and law, on the present situation of foreign exchange reserve of china over high, capital flight and recession of Hong Kong, using the successful experience of aforesaid countries for reference.At present, all research in respective of QDII system and the matter of relevant securities market open places special emphasis on the economical level, however, the detailed research concerned in the legal level is poor. The purpose on this thesis is that the writer analyses the QDII system and relevant legal matter by compressive, comparative and compound ways between law and economy, to promote the construction of QDII system.The thesis firstly introduces the principal and international practice of QDII system. Secondly discusses relevant legal matters such as foreign exchange control and protection of right and interest with regard to QDII system; furthermore, analyzes regulation of QDII: one is the main provisions of International Organization of Securities Regulation and the successful experiences and inspiration from Korea and Taiwan; another discusses the questions and reasons in the securities regulation law of China from securities regulation system and the conflicts of securities market open. On basis of the above, the thesis puts forward the suggestions of economic measures to exercise QDII and perfection of laws and regulations in connection with QDII.
