Ever since China entered WTO, along with the rapid development of the domestic economy, China's capital market has been in the connection process to the international capital market. In such important transition period, in April, 2006, China started to practice the QDII system, which was one kind of arrangement mechanism for capital transformation internationally. The implementation of QDII system has increased Chinese investors' legal channels for investment, and opened the front door for them to participate in the international capital market.In the introductory remarks, the paper elaborates that as China's experimental system for its capital market marching towards the international capital market, the experience of QDII system plays a significant role for China's financial development direction in the future. Therefore, the research on its legal system is exceptionally important. The first chapter is an overview of China's QDII system development evolution, the content of the system, the influence after implementation, and the deficiencies of the system itself. Following by the next chapter, the paper points out the worth noting enlightenments from successful experiences and the lessons of other countries. The third chapter is the analysis of the QDII system with emphasis on China's foreign exchange control, the investors protection, and the securities regulation. The proposal of forming QDII system with Chinese unique characteristic is brought up in relation to China's national condition. Finally, this paper comments on China's QDII legal system and makes constructive suggestions respectively.Through the study of QDII system implementation, the paper believes China must be open, careful and positive towards the innovative financial system. Only through the continuously revision on laws and regulations, would provide the solid legal foundation for the QDII system. It is the only way to successfully carry out such brand-new system in China. And only by doing this, would provide the practical and productive experience for China's capital market in the future.
