Same as the goods investment, the investment of intellectual property is a new type of investment, and the essence of it is the capitalization of intellectual property. This newborn investment owns both importance and danger at the same time. On one side, it can promote vigorously the transform from science to real production capacity, and create the development both in science and in economy. On the other side, if we cannot control well, it can hinder the development of science and economy, and even can bring disaster tohuman nation.In China, although the investment of intellectual property has been practically operated vigorously, the legislation related has been comparatively delayed, and obviously cannot satisfy the existing state of affairs. The further research of this investment and the improvement of related legislation need to be carried out as soon as possible to match up with the reality.In this article, with the careful studying of the foreign countries' legislation of intellectual property investment and the objective reality of Chinese present situation, the author gives out related conclusions and suggestions in the seven chapters, focusing on the background and legislation concept of intellectual property investment, the legal qualifications of the investors and the objects, the evaluation system of the invested objects, the proportion system in the investment and the legislation restriction system of the special investment. With the studying and discussion of the previous point, the author hope can find more questions and solve more, if possible. We will be greatly honored if this article can help the perfect of the future legislation of " The Regulations of Investment of Intellectual Property", or the amendment of "Corporation Law".
