Legal Study On Perfecting The Internal Supervision Mechanism Within The Listed Company

Internal supervision mechanism is an important part in the corporate governance system within the listed company, which affects the efficiency of the corporate governance within the listed company, and also affects the unitary unborn development of our listed companies directly.To see the present conditions and developments of the internal supervision mechanism from the United States, Germany and Japan, the internal supervision mechanism has a tight relationship with the ownership structure, the pattern and environment of corporate governance. Owing to the internal supervision mechanism' nominal establishment, supervision power' s weakness, and other problems occurring in our listed companies rifely, the author has a clear analysis on the concept, characteristic, legal theory, and object of internal supervision mechanism, the pattern and content of the internal supervision's power, and the conditions about the internal supervision mechanism of the United States, Germany and Japan by comparing means. Then, combining the characteristics of our country's listed companies' ownership structure and the condition of the internal supervision mechanism, the author put forward the opinion, that our listed companies should establish an internal supervision mechanism which is running under the special "Duality-Council Mechanism" corporate governance pattern. In this part, the author has a simple analysis on the concept, characteristic, legal theory, and object of internal supervision mechanism firstly, then, the author has an emphasis on the analysis on the pattern and content of the internal supervision's power.By the analyzing, we are clear about the extension and function of the internal supervision mechanism within the company.Chapter two: By the comparing analysis on the internal supervision mechanism within the company of the United States, Germany and Japan, the author points out the differences and reasons, and gets some revelations which are reference to the re-constructing of our country's internal supervision mechanism within the listed company.Chapter three: It's a key part of this paper. In this part, the author analyses the demerits in the actual internal supervision mechanism within our country's listed company firstly, combining the characteristic of the ownership structure and actual condition of the internal supervision mechanism. In the end, the author put forward the pattern of the internal supervision mechanism re-constructed within our country's listed company.
