The Corporate Social Responsibility is an important theory with respect to such a lot of branches of learning as the sciences of law, economic and management which originates from America in 1930s and aims to harmony and resolve the serious social problem caused by Colossalization Corporation, such as environment protection and labor problem.In the article, the writer has no intention to discuss whether it is necessary for the corporate to take on the social responsibility, because it is generally accepted in both theory and practice. The development of the Corporate Social Responsibility requires putting the social responsibility into practice. The article discusses the problem from the point of the relationship between the reinforcing the corporate social responsibility and the change of the corporate interior governance. It simply states the background and theoretic basic of corporate social responsibility, defines the meaning and scope of the corporate social responsibility, focuses on the effect of the corporate interior governance by the reinforcement of the corporate social responsibility, and finally put forward the suggestion that how to reform the corporate social responsibility in our country in order to supervise and urge domestic corporate to take on the social responsibility.There are two points to be explained: the corporate social responsibility in this article is mainly directed against joint-stock limited company; the stakeholders should be bob-shareholders unless special explanations attached.The article consists of five chapters. Chapter one, introduction.Chapter two, entitled by corporate social responsibility. This part mainly discusses why the corporate social responsibility has been put forward and what corporate social responsibility is. All the theory has its own background and theoretic basic, so making clear the background and theoretic basic of corporate social responsibility should help us to understand the conception of corporate social responsibility. Considering that the definition of corporate social responsibility is controversial, and different school has different opinion about the connotation and extension of it, this chapter brings forward the appropriate definition for corporate social responsibility in writer's own conceit by laying out different parlances about it and commenting those points.Chapter three, entitled by corporate governance and corporate social responsibility. This chapter is not inclined to exhibit all of the topics raised by corporate social responsibility, however, makes a search on the demand for corporate governance reform resulting from and implied by reinforcement of corporate social responsibility. The writer considers that reinforcement of corporate social responsibility will lead to the corresponding adjustment in law for the role-orientation of corporate and its executive officers and corporate governance.Chapter four, entitled by the legalization in reinforcement of corporate social responsibility in foreign country. By surveying the legalization of corporate social responsibility of the development country, this chapter intends to explain that, in the present age, corporate social responsibility is not only a theoretic declaration but also a formal institution supported by law. Meantime, this chapter digs out the experiences and lessons from the construction of corporate social responsibility institution by developed countries for our reference.Chapter five,entitled by perfect the corporate governance to reinforce corporate social responsibility. There are lots of unbeneficial factors on corporate social responsibility in the present corporate governance of our country. This chapter makes an analysis of our country's current situation of corporate governance to discuss the deficiency in the joint governance of the corporate stakeholders. At last, it suggests in detail how to perfect the present corporate governance in our country to enforce the corporate to take on the social responsibility with the description of above four chapters.Chapter six, conclusions. On the base of generalizing the whole article, this part confirms again the effect in arrangement of corporate governance by reinforcement of corporate social responsibility. While, at the same time, it objectively points out that the completeness of corporate governance is just a way of reinforcing corporate social responsibility. To reinforcing corporate social responsibility and establish a society with corporate and society in harmonious development, a series of factors such as the whole social environment and good corporate culture are needed to be jointly effective.
