Research On The Corporate Governance Codes

Corporate governance codes as one important form of soft law to enforce corporate governance reforms, have achieved significant effects due to the merits of the codes such as advantage in content and flexibility to apply. This essay first anatomizes the issuing and enforcing mechanisms of corporate governance codes. It then compares the codes and legislations, focusing on their relationship, and explores the mystery of effective regulation of codes. Finally, it proposes recommendations to improve our nation's corporate governance codes.
