Huang zunxian was one of the frontiers of great reform idea in Chinese modern history. He was the early one to raise the conception of constitution and governing by law, and put these theory into practise. The works of Ri Ben Za Shi Shi and Ri Ben Guo Zhi comprehensively introduced the achievement in legal system after Japanese revolutionary,which made contribution to the law cultural exchange between China-western countries, and promoted the moderinization of Chinese law.This paper introduces the law ideas of Huang Zunxian in three parts. The first chapter analyses the source of formation of these ideas, including the influences from enlightenists of early ages and his experences to Asia and Europe. His theory was affected by the ages he was in and his profound personal experience. Thus this chapter helps us to get better understanding of his ideas in many aspects. The second chapter, is the content of his law theory, concerning the theory of constitution and governing by law, abolishment of the rights outside of law, and brief discussion on the practice of such aspect, which reflects its rationality and maneuverability. The third chapter analyses the influence of his theory on modern China. His two works embody his theory , Which casted direct influence on the late Qing dynasty, especially on the reform of Wu Xu. The mostly value is that he brought in the law civility to modern China, and made unerasable contribution to the modernization of law.
