Legal Research Of Corporate Governance Structure Based On Social Responsibility

In China, corporate social responsibility (CSR) and corporate governance structure get lots of attentions from both academy and practice and have become a hot research topic. Now, under the circumstances of the socialist market economy, the research on corporation social responsibility has much more practical and theoretical significance on enhancing overall national strength and also pushing forward the enterprises' own development.Studies on corporate governance structure have got many achievements from lots of aspects, but rarely based on CSR. As China is in the crucial period of economy reform, it is of great significance to research on corporate governance structure based on CSR.In the perspective of corporate governance, this thesis discusses how corporate fulfils CSR by improving its corporate governance, i.e. introducing stakeholders into the construction of corporate governance structure. The thesis begins with a description on CSR; where it results from, and the legal analysis on its jurisprudence base and definition. And then clarifies the relation between corporate governance and CSR, and figures out that it is feasible to fulfill CSR by reforming corporate governance. Research on the foreign reforms thereof affirms the above point, and the foreign experience can be partly used in China. Therefore, the advice of China's reform on corporate governance under the CSR idea is given in the final part of the thesis.
