I think that Corporate Social Responsibility (CSR) should be the proper meaning of the company title. Companies should bear the social responsibility, this has become the consensus of the public. For building a hamonious coexistence relation betwwen the social and the company, CSR system construction in various countries have been improved gradually, these have been laid the system basis for CSR to come true, the improvement of CSR theory has been laid the theoretical foundation for CSR to come true, the concept of CSR has been struck root in the heart of the people, these have been laid social infrastructur for CSR to come true.However, there still a lot of problems to solve. Development of the company is late in china, we have achieved some results in CSR, but, implementation of CSR isn't ideal, we research on CSR system construction and factors of CSR to realize, it has great theory value as well as practical significance, especially the corporate governance structure, it has a key role in CSR to come true.The principles of article writing insist upon theoretical analysis and empirical analysis to be combined. And use comparison and inductive methods, through the understanding of CSR, discussing about aspects of the system architecture and realization in countries. We focus on improvement of CSR and corporate governance. Article is logically divided into four chapters.Chapter one, about basic understanding of CSR. The chapter rational analysis between origin of CSR and basic element of CSR, for writing the paper to make the necessary knowledge of foreshadowing. The chapter illustrates two major problems, CSR and basic element of CSR.The first, form the background of CSR and the development of CSR, it shows that the CSR is inevitable product with company expanding, and amendment to company traditional idea, it is the compulsory course for long-term development. During the development of CSR, the main line is coordination of interests. We should give priority to effect efficiency with due consideration to fairness.The second, definition of the concept of CSR, i used the method of combining the connotation and denotation, i think that the company has the dual objectives, including the interests of shareholder and non-sharehoolder stakeholders. The obligation of the company is not only for company and shareholders to make money, but also care for the interests of non-shareholder stakeholders, including the interests of employees , the interests of consumers, the interests of creditors, the interests of community, environmental benefits and public interests.The third, for the characteristics of CSR, i have summed up in six aspects: CSR is an obligation, CSR is the unity of economic and social responsibility, CSR is a responsibility between legal liability and ethical standards, CSR shows the transfermation from the individual-based to community-based, CSR has mandatory and non-mandatory features, CSR has diversification of the rights and obligations.Chapter two, about institutional framework of CSR. This chapter is tried to analyze between CSR framework of developed countrries and important principles of corporate governance, and argue for main types of CSR in instittional framework.The chapter mainly introduce institutional framework of CSR in The United States, Germany and Japan, these countries take some measures for CSR.The United States focus on encouraging to carry out public service activities by jurisprudence and legislation, Gemany and Japan emphasis on employee participate at corporate governance structure , attach weight to the role of people. A lot of international governance princiles have a pushing effect on institutional framework of CSR, so these imporant principles of corporate governance is brief introduced.The institutional framework of CSR are generally divided into three categories: the regulation of law, the macro-control policies, under the influence of international governance principles, make rules of CSR.Chapter three,the realization of CSR. According to the last chapter, we further analysis the impacting factors of CSR to come true, and it is the key role that corporate governance structure impact the CSR to realize.This chapter brief introduces the factors of impacting CSR, it is important that we analyze the impacting of corporate governance structure to CSR. There are four factors: the extent of spreading ideas, the impacting of the national market mechanism and corporate historic tradiaion, the impacting of the macro—control policies, the extent of legal regulation.To interaction between improving of CSR structure and CSR, we will explained detailedly the question. First, there is the analysis of corporate governance structure, and the relationship between corporate governance and CSR, then we come to the following conclusions, the realization of CSR must focus on stakeholder interests, and implement the stakeholder co—governance model.Chapter four, improving of CSR and corporate governance structure. The chapter based on the foregoing analysis and the status quo of CSR, we put forward the suggestions of improving corporate governance structure and pushing on CSR.This chapter take the CSR status quo and the corporate governance structure status quo as the main object of studying, we will analysis the regulatory and the corresponding question of CSR in corporation law. So, we recognize that the realizing of CSR improving of the corporate governance structure. In china, it has practical significance that construction of the stakeholder co-governance model to promote the CSR. I sure that the corporate governance based on the stakeholder co-governance and put forward some suggestions for realizing CSR. These suggestions include improving of corporate governance structure with meeting of shareholders, the board of directors, the board of supervisors.
