The corporate social responsibility (CSR for short) theory is emerged under the specific background in the American society. Dissimilation of huge corporation function, the economic crisis, the social movement and advancement of ideology are major factors which influence the forming of CSR theory. The CSR theory has always been involved unceasing dispute since emergence. This kind of dispute first displays in the CSR theory advocators having not achieved the CSR basic definition. The Chinese and foreign scholar used various method to define the CSR concept, but has not been able to form a unified concept. So that it is impossible to carry on the actual legal operation under this circumstance. However, penetrating each kind of dispute, we may discover correlation of companies profit maximization goal and social public welfare goal and correlation of shareholder benefit and non-shareholder benefit are the argument focal point of the CSR theory. Understanding of these two nexus may help us get more profound understanding of CSR theory.In addition, the CSR theory also has conflict with the dominant corporation theory and the corporation law system. The CSR theory considers corporation is not only the personal tool to make money, but also an entity undertaking the public function. Moreover, proprietary of corporation does not absolutely belong to the corporation shareholders. Other constituency who has stakes in the corporation is also able to set request to the corporation. Therefore, corporation's directors and managers should not be only responsible to the corporation shareholders, but also should consider other stakeholders' benefits. These viewpoints have basic difference with the corporation theory and the corporation law system in corporation's nature, goal of corporation, proprietary ownership, duty of directors and managers. Such basic differences make the CSR theory involved more than 70 years controversy.
