The traditional corporate law insisted on the principle of shareholder primacy and considered pursuing the maximum profit is the sole aim of corporation. But the dominant position of this idea was challenged when the concept of corporate social responsibility was raised in the early of 20th century. The tenet of corporate social responsibility is that corporation should reorient their goal: focusing not only on the pursuit of maximum profit, but also on enhancing social welfare. Corporate social responsibility is an unity of formal institution of law and informal institution of morality. Corporations can't be separated from the society, so corporations are obliged to build up a harmonious relationship with the society. After the concept of corporate social responsibility was raised, a drastic debate on it has been continued for decades. This paper, which stands for corporate social responsibility, tries to explore the answers to several correlative questions and demonstrate the rationale and necessity of the idea of corporate social responsibility. The paper consists of six parts:Part one is preface. It is mainly about"why we should discuss the social corporate social responsibility?"and to show the practical significance of corporate social responsibility.Part two is summarization of corporate social responsibility. Up to present there are not uniform definitions. Based on authoritative opinions, the paper brings forward to the definition of the corporate social responsibility, and retrospects the origin of the corporate social responsibility. This part also sets forth the content of the corporate social responsibility.Part three is mainly about practice and legislation of corporate social responsibility abroad and development at home.
