The theory of corporate social responsibility (CSR) originated from America in 1930s. From then on it has been explored in a good many fields. Research on CSR by its advocators is indeed constructive, aiming at evoking people's recognition and reception of CSR, so that to mitigate and even to resolve the serious social problems modern corporations create, and in the end to build a harmonious relation between the corporations and the society.The humanistic consciousness is rising in the Economic globalization era. People pay more and more attention on their existing condition and living quality day by day. It is a need of all the society to call conscience of corporations and require CSR. China is in its reform process. While the transformation of economic system, social structure, and values accelerates China's integrating to the world environment, it causes social disorder to some extent, e.g. corporation's lack of CSR. Corporations blindly pursuit shareholder's profit maximization, and neglects its social responsibility and hams the environment. More and more people realize from the problems corporations raise that the development of corporations is not only their own matter, but also the matter closely regarding to corporations' stakeholders, i.e. employee, creditor, customer, and even the community. Corporations should undertake its CSR to protect the lawful right of the stakeholders. Moreover, to seek a way of fulfilling CSR is significant, which is this thesis trying to research on.In the perspective of corporate governance, this thesis discusses how corporate fulfils CSR by improving its corporate governance, i.e. introducing stakeholders into the construction of corporate governance mode. The thesis begins with a description on CSR: where it results from, and the legal analysis on its jurisprudence base and definition. The thesis clarifies the relation between corporate governance and CSR, and figures out that it is feasible to fulfill CSR by reforming corporate governance. Research on the foreign reforms thereof affirms the above point, and the foreign experience can be partly used in China. Therefore, the advice of China's reform on corporate governance under the CSR idea is given in the final part of the thesis.
