Research On Supervision Mechanisms Inside The Company

The thesis studies the internal company supervisory mechanism and focuses on the comparison of two types of specialized company control system—independent company director and board of supervisors. It furthers to illustrate the variety and characteristics of the main company control models, which are originated in the western tradition of industrialized countries. In this thesis, the priority of the independent company director or board of supervisors is under careful consideration. Conclusively speaking, we propose that China's company internal supervisory system be established and developed in accordance with its own traditional background.The thesis consists of three part: Introduction, Body and the Conclusion.The Introduction points out the urgency and possibility of transforming China's internal company supervisory structure, which is in great significance of its perfection.The Body of this thesis is divided into three parts:In part one, we have a comprehensively comparative study of the company internal control models of the United States, Germany and Japan, in which it is predicted that the above models'establishment, development and future tendency be closely connected with their own control and supervisory tradition. In recent years, however, the company's internal control and supervisory mechanism seem to transform into mixture of various models. In part two, we aim to discuss China's company supervisory models and point out the probably-existed disadvantages, which might hopefully be overcome.In part three, we propose that only board of supervisors is the priority of China's company control mechanism, for the independent company director, the optional exclusives or the co-existence structure in China's company supervisory mechanism have proved an unfavorable practice. The suggestion of perfecting the board of supervisors is ultimately the scheme of improving China's internal company supervisory system.In part four, we try to make a legislative proposal, of which the transformational improvement can be fulfilled.Lastly but not the least, the thesis makes an overall points of view as the Conclusion.
