This paper mainly studies on the regulation of search engine companies'pay per click service. As the internet technique widely used, more and more people rely on the web to get information, and as a result, pay for click service has been created as a new web business model. The search engine companies make profit through providing the service of pay for click. But when the third parties that linked to the web of search engines have the problem such as trademark tort, how to define the legal responsibilities of the search engine company is key issue, which full of disputes.The paper chooses two typical cases, one is Dazhong Banchang v.Baidu and another is Nedfon v. Google. The two cases are similar but the courts made different judgments, which show that the views on the legal responsibilities of search engine companies are still full of argument.At present, China's regulation on the search engine company's behavior still limited. In order to establish healthy web environment, the government should better the regulation on the search engine company, and the industry of search engine also need solid self-discipline.The core idea of this paper is that the pay for click service provided by search engine companies is one kind of advisement. So it is necessary to make reasonable notice responsibility on search engine companies. When tort facts happened, the search engine company should undertake tort responsibility based on the fault.
