With the emergence of the era of knowledge-based economy, University has been assuming more and more roles and missions. Many universities have been viewed to make remarkable contributions to the development of economy and society for their countries by commercial research. So, how to promote the commercial research has been one of the most noticeable issues in both the academia and the industries.This thesis adequately affirms the achievement of the commercial research of the universities of our country, but it also points out the problems existing in the current mode. In terms of the principle parts of the problems, it divides them into three portions, namely, the conflict between university and enterprise, the conflict between university and scholars, and the conflict between enterprise and scholars. The thesis analyzes the conflict above-mentioned in detail by using the theories of the economics and the management. It is concluded that the conflict between university and enterprise originates from the different natures of the two organizations, the conflict between university and scholars is due to the irrational arrangement of incentive mechanism, and that the main reason causes the conflict between enterprise and scholars is the information asymmetry. Then, on the basis of the experiences of the foreign countries in which the universities use the interface organizations to facilitate commercial research, the paper puts forward a new mode of constructing integrated firm to manage commercial research of the universities in our country. It further explains and demonstrates the four characteristics of the new mode, that is, (1) more effective in stimulation and supervision for the scholars, (2) less transaction fees, (3) more easily to organize and coordinate major projects of commercial research, and (4) lower level of risks for universities. In the end, it brings forward that the management mechanism of the integrated firm should focus on the contract management, and it also explores the detailed mechanism of the new mode from contract pricing, contract negotiation, project management and allocation of income.The studies of the commercial research in this thesis have definite values for the theory and the practice. It aims to provide practical and effective suggestions and means to promote the development of the commercial research of the universities.
