As science and technology are the first productivity, only through technology transfer can science and technology be materialized into the real productivity. University play a vitally important role in talent fostering (impart knowledge), scientific research (create knowledge), social services (apply knowledge).To serve its role well in these three functions, university is supposed to operate its technology management successfully. As University closely links to technological innovation and intellectual property management, therefore, the management of intellectual property and technological innovation is bound to advance technology and promote economic development.The key issue in technology transfer is the title to intellectual property (IP) rights. As a result, the theoretical study on title to intellectual property is the prerequisite in technology transfer. As a matter of fact, the intellectual property right is quite exclusive. Any loss of IP rights will cause a lot of troubles in technology transfer—too early disclosure leads to lack of creativity and falling into the public domain, resulting in difficulty in attracting venture capital to commercialize it. It is well known that the IP rights itself is the most important stimulation mechanism to spur innovation, IP rights render the perfect legal protection for the inventors to gain the financial return to award their devotions to research, in this sense, IP rights should be the fundamentals in the stimulation mechanism. The development of knowledge-based economy reflects the capital nature of knowledge realizes its true values, namely, the basic values and its due values as well.Some developed countries, the United States and Japan, for instance, have accumulated abundant experiences in university technology transfer, which renders us to learn something in the set-up system of university technology transfer. Firstly, Relevant legislations and a series of policies set by the government give favorable conditions for university technology transfer in the States and Japan, which greatly motivating inventors, industry and government to commercialize science and technology. Secondly, they have built mature OTLs and TLOs to specialize in university technology transfer. Such Specialized organizations managing inventions accelerate the commercialization and application of innovation, and scientists and inventors can concentrate on their research, as their benefits can also be protected by the IP rights protection mechanism.To establish and further perfect the legal protection mechanism for university technology transfer, a series of laws and regulations should be drafted on the basis of present situations of technology transfer. Therefore, it is an urgent issue to survey the current situations in technology transfer, and make relevant laws and regulations. This dissertation aims to the deep research in the legal mechanism in technology transfer, and proposes the basic principles in establishing university IP protection and operation mechanism, and then elaborates the government's role in spurring technology transfer.
