Early twentieth century corporate social responsibility should be a timely, itsdevelopment has been closely watched by the community.With the continuousdevelopment of China’s growing strength, the impact on the socio-economic developmentof the company growing bulge. On the one hand, the company promoted the rapiddevelopment of China’s socialist market economy, which greatly facilitates the productionand life of the people.But at the same time, the company’s rapid development has alsoderived a lot of social problems.Especially in recent years, Hebei Sanlu melaminepoisoning cases, waste oil events, poison capsule events, and China PetrochemicalCorporation, Qingdao Branch pipeline explosion occurred a series of social turmoil,making corporate social responsibility once again become the focus of the communityfocus.However, China for the study of corporate social responsibility theory is still in itsearly stages, the foundation is relatively weak, the relevant legislation is still notperfect.Based on this background, I believe that further explore a number of issues ofcorporate social responsibility theory, to promote corporate social responsibility system inChina has an important role in the construction.This article is divided into four chapters on the theory of corporate socialresponsibility were discussed and proposed as the basis for corporate social responsibilityto improve our legal countermeasures, and its main contents are as follows:The first chapter describes the basic theory of the important issues of corporate socialresponsibility.First, the historical background of corporate social responsibility theory ofthe origin and whether it is willing to fight, and then through the interpretation ofwell-known scholars on the definition of corporate social responsibility representativecomparison and analysis, the concept of corporate social responsibility has beendefined.Finally, companies should bear the legal theory on the basis of socialresponsibility were explored, mainly from the corporate citizenship theory, social theoryand social standard theory to explain the ownership of four aspects of corporate social responsibility is reasonable existence.The second chapter of the United States, Germany, Britain, Japan and the fourcountries are more representative of the corporate social responsibility of legal regulationfor a more detailed description.Through the four countries of corporate socialresponsibility legislation and judicial practice of comparison and study, to show a varietyof ways to build corporate social responsibility system of pros and cons.The third chapter is mainly based on the status of the relevant legislation existingcorporate social responsibility, corporate social responsibility on a few points of presencein the current legislation are analyzed.First discusses the social responsibility of thecurrent legislative issues involved in the Act, specifically including the legal consequencesof the current legal definition of social responsibility in the Act, the object range of issuesrelated to workers’ participation rights, and issues of social responsibility andrelief.Secondly, the social responsibility of non-shareholder third parties are analyzedinclude the protection of employees, creditors, consumers relevant interests.Finally, thestatus of environmental legislation and the shortcomings discussed.The fourth chapter is the former legislative countermeasures on the basis of the futureto resolve issues related to corporate social responsibility raised.Focus on the principlesprovided for in the Act General, staff participation, creditors’ rights, public interest andconsumer interest in environmental protection issues raised facile writer own ideas aboutlegislation, hoping to improve on corporate social responsibility system in China hasbenefit.
