Cooperative economic organization is a global economy phenomenon. It has become an irreplaceable force to facilitate the development of rural economy and society not only in the developed countries but also in the developing countries. For the agricultural cooperative economic organization in china, it has already made some progress, but there is still a great distance in economic strength, organization and management and conduct effect of the farmers compared with those countries in which agricultural cooperatives have been greatly developed. So it is significant to make clear the develop direction of international agricultural cooperative in the future and make sure its current developing emphasis in china.Taking agricultural cooperatives as its study object, this paper focuses on the transformation of institutional efficiency and the logic of institutional change during the development history of agricultural cooperatives. It includes six subsections as follows:Part 1 Introduction. This part explains the purpose and significance about choosing this object, summarizes the research production both inside and outside China, sums up the research content and illustrates this paper's main innovations and insufficiencies.Part 2 The Theoretical Foundation about the Institution Analysis on Agricultural Cooperatives. At first, it comprehensively introduces the study object, and defines some important notions, then explains the theoretical analyses tools used in this paper: theory of property rights, theory of externalities, theory of institutional non-equilibrium, etc.Part 3 The Development and Evolvement of Overseas Agricultural Cooperatives. It is set into two subparts. First, it reviews the development situation of overseas traditional agricultural cooperatives, demonstrates its institutional efficiency, and lists some supporting measures of several countries. Second, it retrospects the situation of the new generationcooperatives produced and developed, analyzes its institutional characteristic and the improvement to the institutional efficiency.Part 4 The Development of the Agricultural Cooperatives in China. Firstly, it sums up the general situation of the agricultural cooperatives of our country. Secondly, combining with the materials of some pilot cooperatives confirmed by the ministry of agriculture, it analyzes the institutional characteristics of the real-life agricultural cooperatives, including member qualification, financing, inner transaction, management and distribution. Thirdly, it analyzes the function of government in promoting the development of agricultural cooperatives.Part 5 The Analysis on Institutional Change of Agricultural Cooperatives. Mainly based on Part 3 and Part 4, this part is above to analyze the two stages of the institutional changes with the theory of the non-equilibrium institution. Besides, it discusses the reasons why the cooperative can exists in the modern market economy as a form of organization. Finally, it shows the developing direction of agricultural cooperative.Part 6 Conclusions and Enlightenments. Based on the analyses above, this part summarizes the rules of the process of produce and development of the agricultural cooperative, shows the difference between the agricultural cooperatives in our country nowadays and the new generation cooperative, points out the current development emphasis of our country's agricultural cooperatives, and opens out the policy implications. Finally, it gives some suggestions for further research.The innovations of this paper lies in that it discovers the common field in the utilization share of the cooperatives' services in the traditional agricultural cooperative, and uses the externalities theory and game theory to points out the reasons in which the institutions of the traditional cooperative are of no efficiency; and that it introduces institutional non-equilibrium theory to analyze the process of the agricultural cooperative's institutional change, and summarizes the economic logic of the agricultural cooperative's institutionalchange. The insufficiency of this paper is that it just logically infers the institutional efficiency and institution change, but it is short of the necessary testify from empirical data.
