In order to solve the problem for the absence of ownership of the state-owned enterprises and their low efficiency in business running, encouraging management buy-out is one of the good ways which are worthy of being considered in the reform of the state-owned enterprises. As a matter of fact, how to handle it in practice is new to us all. We hoveint got enough rules and former cases by law, so we have seen guite a lot of problems in our practice such as no settled purchasing price for the enterprice, undetified sourse of the investment and many other hard thorns as wall.Though all the problems mentionged above appeared, we shouldn't stop our steps in our reform course. At present, what we should do in time is that a system of making serious rules for the management buy-out must be lined out and settled, and details for the purchase must be given. We should first make it clear that: who, which sorce of investment and how to settle the value price of the enterprise, and then the purchase is allowed to go.If we have a serious rules to obey in our practice, many problems in the transaction can be avoided. After a thorough study of the practice and cases in the reform history of the management buy-out in China and contrasting them with many such cases in other countries, the writer thinks the key point in the reform course in the state-owned enterprises dependence and compass in our practice of reform course.The thorough reform of the state-owned enterprise is a system of complex projects, and it is a hard problem as wall. The writer holds that we should be active, reasonable, ready to face the problems, ready to justify our thansaction when we find errors in our practice in the course, and we can surely to better in the reform course.
