The cooperation between traditional enterprises mainly depends on the market behavior with isolated relationship and benefits conflict. As a result, there is higher cooperation cost. Along with the development of the management thought, in according to share the resources and the core ability with each other, a new kind of organization named virtual enterprise (VE) come in to being over the region and the industry boundary. Virtual enterprises can come into existence or not quickly according to the environment & request and are more competitive comparing with traditional ones. Now, more and more scholars are devoted in the research on virtual enterprises from different angles. Benefit allocation mode of virtual enterprises is studied in this paper.Formulating a reasonable benefit allocation mode is important for the success of Virtual Enterprises. Each member wants to gain more benefits, but under the condition of certain income, each member will adopt the means, such as negotiation and threat etc., to fight for possibly benefits in the coordination process. However, the existence of the collective reasonableness makes the cooperation end with a success. So there is a relative satisfied benefit allocation mode.This paper tries to integrate game theory, a very useful tool to resolve conflict phenomena, with optimal benefit allocation issue. First, Lifecycle of virtual enterprises is built up according to the lifecycle theories. In addition, the factors that influencing benefit allocation of virtual enterprises is aimed at. Three key factors are analogized and valued, what is more, valuation to the risk is undertook with the method of Adoption Layer Analysis method (AHP) to realize the thought of "risk allocation between the members". Then, tools to resolve such problems were presented and analyzed. The cooperative N-person game model of benefit allocation and its solution ways, Shapley, Core, MCRS method, were delineated. Finally, it was concluded that to apply cooperate game theory in optimal benefit allocation issue is helpful. Theories foundation is provided for the practice and development of virtual enterprises.
