Although there are lots of studies on the institutional change during the period from SHANG dynasty to QIN dynasty, the methods of study are not satisfying. Since the traditional research do not get a proper framework of analysis, and as a result, there are more lists of phenomena rather than logical analysis. This essay focus on the change of property right of farmland during the period from SHANG dynasty to QIN dynasty by accepting and using the method of study and fruits of new institutional economic school properly .In the process of study, I modified the views of some neo-institutional economists and in the basis of this, I introduce my views on the reform of Chinese state-owned enterprises. According to this essay, it was the accumulation of agricultural knowledge rather than the increase of number of population during that period that broke the equilibrium of institution of property right of farmland. Essentially, the change of property right of farmland was the redistribution of property right of farmland manipulated by the kings. And the fierce competition both internal and external decreased the time of the change of property right of farmland. Furthermore, the change of property right of farmland broke the equilibrium of other economic institutions, and eventually resulted in a series of institutional changes. The mainstream economists evaluate the performance of institutional change with the concept of efficiency. It is not satisfying. This essay introduce the concept of capacity defined by Amartya Sen to replace of the concept of fortune as the foundation of evaluating the performance of institutional changes during that period. Although the marginal revenue of current pattern of property right of farmland in china is decreasing, this institution is effective in comparing with other institutions. let farmer own the property right of farmland completely is not a useful way rather than to promote the development of agricultural technology and the innovation of institutions of agricultural organization. To promote the development of agricultural technology will enhance the competitiveness of agriculture in global market and the innovation of institutions of agricultural organization will increase the marginal revenue of current pattern of property right of farmland in china.
