In recent years, a tide of transnational M&A of Chinese enterprise is surging all around China. A large number of outstanding Chinese enterprises take an important part in this tide. The strategy of "going out" has become demands of the national economy to maintain stable development in the new era. At present, in the international background of China's accession to WTO, foreign economic blend is an irreversible trend, Acceleration process of local enterprise internationalization of modernization has become our primary task now facing.Practice has proved that transnational M&A is an important channel of the rapid accumulation of capital, possession of resource and expansion of market. But at the same time, transnational M&A is also full of a variety of risks. Because transnational M&A is a major way of contemporary foreign direct investment, it has a tremendous impact on the world economy, if not properly dealt with the risk of M & As will lead to the failure of M & As to the enterprise, national and even will have a tremendous impact on the world economy.This article is mainly based on the main framework for discussion of the risk management theory. First of all, it is more completely summarized of the status, characteristics and significance of transnational M&A of Chinese enterprise. Secondly, against a severe shortage of experience of Chinese merger, a more comprehensive and systematic identification of the risk chain of transnational M&A is done. On this basis, from five aspects, the environment Produced by the risk of M&A is analyzed. Through grey system theory it is measured to the risk of transnational M&A and is certificated by vague mathematics. Finally, in response to different risk, a risk prevention system is constructed from the macro and micro aspects. This article provides a set of methods to prevent and avoid risks of transnational M&A.
