A Study On The Lack Of Our Corporate Governance Efficiency

The theory of firm has developed fast these years, and the set of corporate governance structure as well as the theory about professional manager has become to be perfect. What we cared most was the set and consummation of the structure; however, whether they would be suitable in any situation wasn't proved. Lately, the concept of corporation governance efficiency has come up, and it came out with an important question of our country's corporate governance, that is, why can't we get the same outstanding achievement as the west corporation by introducing the same corporate governance structure? In this article we will discuss this question by using the concept of corporate governance efficiency.The first two parts we are focusing on the theory. Generally speaking, the broad since of corporate governance structure includes inside governance structure and outside governance structure, while the narrow sense of corporate governance structure cares only the inside governance structure, which includes the property structure, the capital structure, the balance mechanism (the balance of the shareholder meeting, the directorate, manager and the supervision), the inspirited mechanism and the information system. The outside governance structure includes the full competitive market, the law and macro economy. The writer thinks that the perfecting the corporate governance structure is one thing, the improvement of the corporate governance efficiency is another thing, and the latter depends.
