State-owned commercial banks(SOCBs) play a vitally important role in the financial system of national economy, however,on the ground of the policy and system,they have too many problems to be confronted with very low operating efficiency. On the other hand, on the impending time of completely opening-up to international finance industry after China's WTO accession, SOCBs have to stand in the drastic competition with foreign advanced banks. Thus it is an urgent issue that SOCBs adapt an institutional reform in the presence of their serious problems and the competitive pressure from foreign banks of higher level.Generally speaking, there are two ways, market-oriented means and governance -oriented means, about the SOCBs' reform. From my point of view, the effective measure to improve the performance and comprehensive competitive capability is perfecting the corporate governance of SOCBs on the basis of the reform of proprietary institution. In this thesis, the author describes the theoretical foundation of banking corporate governance firstly, including the corporate theory, proprietary theory and corporate governance and so forth, and then reinterprets the internal-governance mechanism and external-governance mechanism of corporate governance. Second, the author analyzes the characteristics of proprietary institution and corporate governance in such countries as USA and Germany, and then exemplifies Citigroup and Deutsche bank and illustrates the two different models of corporate governance.In the chapter 3, the author explains the serious problems of SOCBs, such as fraudulent loans, capital ratio, return on equity etc. whereafter expounds the arguments among academia about the way of SOCBs' reform.In the chapter 4, the author at the first points out the characteristics and the current problems of SOCBs' proprietary institution, then puts forward a series of reformatory measures, including the concreting the owners of proprietary, changing the organizational structure, perfecting the principal & agency mechanism, diversifing the owners of proprietary etc. In order to improve the performance of corporate governance to the utmost, the author brings forward that SOCBs should construct a medium-intensive shareholding structure in the process of SOCBs' proprietary reform, and thus the state should convert the absolutely-control to SOCBs' ownership into comparatively-control.In the chapter 5, having studied the actuality and problems of internal-governance...
