With the rapid development of economy and globalization of modern societyincreasingly competitive market, while economy-related issues become the focus of attentionof scholars and managers. Corporate governance issues not only from a macro reflects acountry’s institutional environment and market environment, but also affect the survival of anenterprise development from the micro.In developed countries, from the late1990s, corporate governance has become acontinuing cause for concern and attention to the problem and start a global wave of corporategovernance movement. China’s corporate governance research started late. Corporategovernance to some extent, the performance of system problems, the most fundamentalproblem in the enterprise, it is not only the enterprise itself, but also with the institutionalenvironment. Set off wave after wave of wave of reform, China’s state-owned enterprises inthe process of establishing a modern enterprise system and the transformation of the companyfrom the devolution of power.This article is a special motor plant in Chongqing as the research object, the plant forsmall and medium-sized motor factory, its biggest advantage lies in its product advantages.Over the years, Chongqing special motor plant in the development of special motor,developed a large number of high-tech products of the industry and the domestic advancedlevel, and some also to fill the blank of domestic motor manufacturing, and its products arewidely used in mining, environmental protection, natural gas, metallurgy, petroleum, chemicalindustry, transportation, construction, pharmaceutical and other industries. However, from theenterprises themselves, the operation of special motor plant in Chongqing governancestructure defects, poor financial management as well as technical and other issues behind. This study is divided into five chapters: Chapter1is an introduction, brief description of research background, indicating the meaning and purpose of research, introduced the ideasand methods proposed research and innovation and inadequacies, and finally given the fulltext of the research framework. Chapter II as the theoretical basis of the connotation ofcorporate governance, a brief introduction about the corporate governance structure of thetheory, including the theory of property rights, the separation of ownership and theory,principal agent theory and stakeholder theory, and then introduced the classic model ofgovernance, the relevant the related issues of the governance structure of the literature reviewin order to understand the relevant research trends at home and abroad. Chapter ChongqingSpecial Motor Factory governance structure status quo analysis on the development status ofthe special motor plant in Chongqing, focusing on the problems in the governance structureanalysis of special motor plant in Chongqing from three aspects of the ownership structure,organizational structure and incentives. Chapter special motor plant in Chongqing governancestructure optimization, optimizations of the problems in the governance structure for thespecial motor plant in Chongqing, still from the three aspects of the ownership structure,organizational structure and incentives. The sixth chapter is the conclusion, summarized themain research results obtained in this research.Problems in the governance structure of the special motor plant in Chongqing, the paperargues that the enterprise from the three main issues should be improved. Finally, in terms ofincentives, businesses cope with executives annual salary system, and focus on equityincentive for executives to reduce short-sighted executives.Reform involves the interests of many stakeholders, and various optimization mode alsoexists between the relationship between the primary and secondary and has, therefore,enterprise reform should be gradual, to grasp the reform of the primary and secondary, reformand enjoys popular support, Win sense of identity and actively cooperate with thestakeholders.
