The state-owned enterprises hold a considerable proportion in the listed companies in China. Pushing and developing the socialist market economy must be based on the state-owned enterprises, and these companies play an important role in the construction of the market economy. The reform of state-owned enterprises has been promoted persistently, as a great part of the corporate governance, the salary incentive mechanism, has become an important component of the listed enterprises especially the state-owned listed enterprises. However, for a long time, in the reform of the property rights of state-owned enterprises, the salary incentive system did not receive much attention, the lack of High-rank staff salary system is the main reason of insufficient, inefficiency of the state-owned enterprises, The disadvantages of salary incentive mechanism have become the stumbling block in China's state-owned enterprise reform, how to establish a effective incentive pay system has been a hot issue in management studies.The thesis selected the state-owned listed companies for the study, to explore the current state of their remuneration system and the design of the salary incentive system.. The thesis try to use the principal-agent theory, human capital theory and motivation theory, thought out the history and development of the salary incentive system of China's state-owned enterprises. Using empirical analysis to give an overall state of the salary system of state-owned listed companies, and the conclusion is the salary and company performance does not has relevant relationship, and give the finally design of the system accordingly.The thesis falls into five chapters, the contents are as follows:The introductory section reports firstly the purpose and significance to the selection of this subject, then the research achievements home and abroad, and finally the train of thought and methodology to bring up the study topic.Chapter Ⅰ Explain some relevant definitions , elaborates the object high-rank managers who are the research object, and analyses the nature of high-rank managers, as well as the concept of salary has explained.Chapter Ⅱ Elaborated the related theory , starts with high-rank...
