The reform of the State-Owned Enterprises has been a hot topic in the process of China's economy transition. After years of the enterprise reform practice, the reform of State-Owned Enterprise is evolving to the Modern Enterprise System which adjusts to the Socialist Market Economic System. The enterprise reform causes the clear property rights, well-defined right, separation, scientific management, which is more advantageous to the development of the Socialist Market Economy. But it seems to be difficult to succeed from the practice of reform, there have been "packet hosting", "to change in the custody" these years, it appears a lot of problems on the structure especially these enterprise with extensive management. Therefore, we should deepen enterprise reform together with the enterprise reorganization and strengthen management according to the practice of enterprise development and the transformation of economic growth. Through the reform management, it makes the existing enterprise resources obtain more reasonable configuration, and enterprise form towards the technology innovation mechanism of the market, and enhance the scientific management level of the enterprise.For the survival and development, the state-owned enterprise operator need to actively review the reform process of the enterprise, and reflect the problems existing in the enterprises, and abandon the old thinking to explore new ideas. They are learning management method in free economy market system, and put the advanced scientific management theory and pragmatic and efficient management style into the management of state-owned enterprises. Therefore, this article chooses the state-owned enterprise - GA company as the research object, by case study manner, using the modern enterprise theory and enterprise management theory, analyses and studies the GA company in the past dead-beating, inefficient, mutual shuffle, working performance and income does not match etc phenomena, profound summarizes company nature of existence problem: enterprise management and regulatory lacunae breed problems, and management personnel without dedication and employees' lack of sense of responsibility, management right &responsibility not match, income distribution, motivational system irrational, etc.The paper analyzes that the GA company establish and perfect the management system of the company, according to the quantitative management perspective, an effective incentive, mismatching matching scientific management theory, the reform process and effect, combining the actual situation of the company GA, analyzes their advantages and disadvantages of the reform measures, including: a class project management method, Give employees with a space of subjectivity, to produce the achievement to mobilize the enthusiasm of the employees, "Two male two strict" and democratic decision-making, The whole members participate selecting and promotion mechanism.The results of the analysis show that these changes methods of implementation of the solved to some extent the company before existing problems, to create a good work atmosphere, improving the efficiency and effectiveness of the enterprise. But there are still have some unsolved problems, the article points out the future orientation of reforming and countermeasures in the last part.
