Legal Construction Of Personal Securities Agent In Our Nation

With our stock market developing till now, there hasn't been normative and complete system of securities agent.This is because of the lack of related legislation and statute,which lead to no legal basis of the legal status, qualifications,range of business, rights and obligations,relations with other participants in stock macket and rules of securities agent.This,therefore,causes different form of agent to different broker,and even different form of agent to the same broker.This,on one hand,gain the difficulty to management,and on the other hand,exits lots of potential legal risks.This article can be divided into four parts:The first part is about the definition of securities agent from two different point of view, that is securities agent as formal staff of securities institutions and as informal staff.The second part introduces the status of our securities agent, mainly discuss the problem during operation. The third part briefly introduces the legal status of securities agent in foreign legislation, concentrating on the Civil Law and the Common Law. The forth part is the idea of building the system of personal securities agent including seven parts:clearing the legal status of securities agent, building multi-level management, building institution of registration and credit file,building security mechanism, institution of qualification and registration, and rule of behavior and ethics.
