The development of a market economy has brought opportunities along with many challenges, the problem how to survive the fierce competition in the market down is every business needs to face. In order to survive and develop, enterprises often take a lot of measures. Among which, the merger of enterprises is one of the most common methods to expand the scale of enterprises and defeated rivals. Through merger, enterprises can rapidly expand the scale and increase market share to achieve economies of scale.At present, China's motorcycle market becomes saturated. After a fierce price war, the profit margins have become extremely thin. Jialing Group, Jianshe Motorcycle, Qingqi Motorcycle, as the motorcycle manufacturers holding by China South Industries Group Corporation, after having gone through a period of glory, now become dim down, and the glory was completely overshadowed by private motorcycle manufacturers. To survive in the highly competition of motorcycle market, integrating and merging the three companies become imperative. And because the three state-owned enterprises are holding by China South Industries Group Corporation, the merger and integration of the three companies has a unique condition.This paper has a think about the merger of enterprises, based on the existing theory and practice case. Discuss and analyze the issues of the merger of the motorcycle industry, try to put forward effective proposals and provide a possible merger method. And also try to provide a reference for the merger of State-owned enterprises.In this paper, the structure is divided into five chapters. The first chapter is an introduction the background of the subjects, then the meaning, content and structure of this paper. The second chapter introduces the theory of the merger to gain the theoretic supports for the merger method design. The third chapter introduces the basic situation of the case, including the three list companies, their parent company and the basic situation of motorcycle industry. Then introduce the motivation of merger of three listed companies, the main problems need to be solved. Chapter IV is specific analysis of the case. First discuss several possible merger methods, then compare the possible options, take the final choice. Then introduce the implementation of the merger and discuss the target company's pricing issues. Finally analyze the synergy of the merger and also give some recommendations to the integration of corporate culture. Chapter V gives the conclusion of this paper, and gives some suggestions to the merger between the state-owned enterprises.
