In the modern enterprises, professional managers have been the most important human resource for their development. How to intivate them becomes a big topic for the enterprises. Thereby, the incentive of the professtional managers is the hot issue of the recent research, compensation incentive is the best important part of incentives. At present, build an effective compensation incentive system for professional managers is the strategic choice for modem enterprises.This paper mainly aimed to study how to design the compensation incentive system for chinese professtional managers(abbr.CPM). In order to solve this issue, the steps of research is the following: First, explained some relevant concepts about CPM and compensation incentive system; Second, discussed the necessity of salary stimulation from the view of principal—agent theory, human capital theory and efficiency wage theory, these theories provided a powerful economical theoretical basis in this thesis; Third, in the third and fourth chapters, respectively analyzed the status quo, problems and influencing factors of the compensation incentive system for CPM in order to suit the remedy to the problems; Last, this thesis entered the key part—the design of compensation incentive system specific to CPM. In this part, the author advoeated conducting a research focus on annual salary system and stock option incentive plan assisting with other salary modes. So that, short-term prompting will be combined with long-term prompting.The most prominent innovations of this thesis lies in the following three points:1.Studied the compensation incentive system for CPM purely from ecnomics; 2. Not only paid attention to the diversity of salary modes,but also clearly explained the emphasis of salary structure; 3. Made a targeted design according to various characters of enterprises.
