Real estate, a fundamental leading industry in national economy, has a close reference ship among other industry and strong driving forth to them as well. It plays a very important role as a vital leading business in state national economical world of 21 century. Nowadays, real estate acts as a rising industry, however, most of the house property enterprisers who have old ideas and improper measures of it pay little attention to the field of HR management and exploitation. What is more, there is some problem with lack of incentive and restraint for superior managers, which badly influenced the enterprises' sustained development. Therefore, it is of extraordinary significance to probe into this field to discuss the problem of incentive and restraint for superior managers and better the incentive and restraint policy, which will be on the basement of mature relative theory guide and successful management experience of Benchmarking enterprise.The paper writes to research the results and enlightenments of incentive and restraint policy of enterprise in accordance with different subjects and different academically theories by multi-angle and multi-orientation. Combining to the status and characteristics of real estate, the other penetrated into the actualities of incentive and restraint for managers in real estate industry. Meanwhile, on the basement of the case of Hunan HongXin Industry L.t.d, which is a masses-owned enterprise located at middle of China, the author are willing to find the key factors affected the incentive and restraint lever via the investigation, research and quantitative analysis of satisfied and demand degree of incentive and restraint actualities for superior managers. With comparison to the incentive and restraint management style of WanKe, JinDi and other enterprises with bigger name, the paper have analyzed the exist problem and its reason in this field of HongXin.The paper, according to the reason of incentive theory and the design principle ofincentive mechanism has established a incentive model for superior managers of HongXin and also set the effecting system in good order. The model affects every step of organization behavior and fulfills the purpose of promoting the motivation, performance, interest and satisfaction of managers by career incentive, spiritual incentive, wages incentive, policy incentive and so on. The thesis have studied the establishment of such incentive mechanism of HongXin in the followed facet: legal person governed structure betterment, the construction of policy system strengthening, outer supervise mechanism usage and so on. In accordance with the prerequisites and basic principles of incentive and restraint policy of HongXin it have pointed out that it is of vital importance to consolidate the performance appraisal, consummate the incentive mechanism of punishment and awarding by wages and fulfill the six tactics step by step: enrich the incentive approaches, carry out the welfare plan, construct effective inner control system and analyze the anticipative effect of improved incentive and restrain mechanism.
