Along with the development of economy globalization and integration, the enterprise must improve its competence to survive and develop at the condition of drastic competition market. Human resource is the root and key factor of the competence. To realize the enterprise organic goal, the employees and departments'performance appraisal system must be erected and perfected. The effective incentive mechanism must be assorted which can inspire the employees'enthusiasm and potential of creation. By the use of this system, the level of performance can be improved continuously. In this paper, the Nanjing Hengzhi Science and Technology Limited Company is regarded as the object, the affect factors of the employees'performance appraisal are analyzed firstly. Then, according to the characteristic and request of performance at the new economic time and based on the enterprise's actuality, the performance appraisal system matched up to the enterprise's real situation is built up. Thirdly, the incentive mechanism corresponding the performance appraisal is discussed and erected in detail.The dissertation is divided into five chapters. Chapter 1 is introduction, in which the background and the significance are introduced;The related theory of performance management is then summarized; and the main contents and thesis structure are recommended. In chapter 2, the performance and performance appraisal's connotation and their function are analyzed; the related theories of employee performance and organization performance are presented. The general situation and the status of Hengzhi Company are firstly narrated in chapter 3; then the problems in its performance appraisal system and incentive mechanism are analyzed.
