In the twenty first century, the world is dominated by knowledge. Competition between enterprises has become more and more furious that the competition is no longer ways of capital and technology. Talents with knowledge are the main resources wanted by enterprises. Enterprises with human resources of exceptionally high intelligence quotient will dominate the whole world. Therefore, attracting, retaining talents, taking advantage of talents have been the hot topics people concern and study. Although management of enterprises plays an important role, effect of incentive mechanism also is unmatched by many others. The CCCC -SHB Third Highway Engineering Co. Ltd. has reformed the company's system successfully by the end of 2002, establishing the modern enterprises" system. The newly operated system make the company vigorous, fully developing and improved welfare of staff while unimproved problem in loss of staff. The essential reason of it is that the company is lack of permanent and effective incentive mechanism for staff. Hence, studying and designing effective incentive mechanism is pressing for the company. Moreover, it is significant that the enterprise can improve its competition and obtain further development.This thesis starts with studying the incentive theories and advanced incentive methods of famous enterprises in China and foreign countries, adopting methods of comparison analysis, combination of qualitative and quantitative analysis, norm analysis to deeply analyze the thought, principles and current situation of the incentive mechanism CCCC -SHB Third Highway Engineering Co. Ltd.. On the basis of performance inspection, the paper rebuilt an appropriate incentive mechanism project with the company's own feature in the aspects of the salary fulfils system, career planning norm for employee, working and cultural inspiring. Also the thesis proposes guiding strategy for implement of the new incentive mechanism.The conclusion of the paper is as follows: the company is lack of scientific and effective staff incentive mechanism and loss of staff seriously influences the company's competition. According to the two-factor theory, the enterprise is required to set up an all-round and multi-level incentive mechanism which highlights the salary and reward incentive on the basis of performance evaluation, together with the combination of materials and spirit incentive modes, long-term and short-term incentive modes, other incentive modes.The design of the incentive mechanism is playing an important role in inspiring and removing employee in CCCC - SHB Third Highway Engineering Co. Ltd.. Moreover, the plan is a main reference for building incentive mechanism in China's State-owned enterprises.
