As the main force of finance industry in China, the state-owned commercial banks have contributed much to supporting the reform of the state-owned enterprises, to fostering the development of economy, and to maintaining the stabilization of society. However, they can't conform to the market economy systern.because of the monopolistic status. And with the bad management, a large number of non-performing assets have been accumulated. The potential finance risk is so big that it may be triggered at any moment.Although we have reached the step of stock equity reorganization in the "three" step of state-owned commercial banks reform, it is just the path to realize marketization and it can never solve the numerous problems existing at present. The urgent task for building up the modern financial system is to establish and improve the corporate governance which is the key of the reform success. This paper based on the concern theory from Economics, Finance and Management, conducts a deep research into the corporate governance of the state-owned commercial banks by adopting such methods as normative analysis, case analysis and contrastive analysis.This paper focuses on the following four issues. Firstly, it gives a thorough analysis of the various kinds of problems of the inner corporate governance in .state-owned commercial banks. Secondly, it gets some inspiration through analyzing and contrasting the different form of the corporate governance between the two big commercial banks in the world. Thirdly, it puts forward the reform of the state-owned property which requires to be not only clear but also multiform. Fourthly, it present some specific measures and suggestions to Improve the corporate governance of the state-owned commercial banks.
