The Study Of Equity Structure Of State-owned Commercial Banks, From The Corporate Governance

The reform of state-owned commercial banks is on the critical stage at present in our country. The shareholding system reforms of Bank of China, CCB and ICBC have completed and CCB have listed on the stock market in Oct. 2005. The shareholding system reform of state-run commercial bank at present is under deep historical backgrounds. It is a promotion of former reform that suits to the marketing of economy and finance of our country. Also, it is an objective demand for internationalized development. How to deepen these reforms next, have already become the financial focus which people have paid close attention to.The equity structure is releated to corporate governance,and it is the base of the corporate effcience. Highly centralized equity influence the mechanism of corporare gonernance directly in state-owned commercial banks.So on the basis of explaining the two kinds of equity structure abroad, the empirical research suggests that it should diversify the equity structure and estblish the effciency corporate governance. Then the thesis points out why the relatively centralized equity structure is chosen.At first,the thesis analyses and expounds the theory of equity structure and corporate governance so as to reveal the relationship among quity structure,corporate governance and the corporate effcience. Then the thesis ananlyzes the limitiation of completely centralized equity structure of state-owned bank property institution,which leads to the ineffecience of the corporate governance. The thesis has compared two models of equity structure,the highly distracting equity structure and relatively centralized equity structure. On the basis of comparative analysis, the thesis points out some affectors influence the equity structure.Then it finds that the relatively centralized equity structure adapts to our own country. Thinking about the situation and problems of state-owned commercial banks, the equity structure should be optimized ,the equity decentralization and the state holding mode of bank group should be set up. Finally, a series of supplementary measures is suggested in order to set up the model of property rights structure.
