State-owned commercial banks (SCB) are the backbone of China's financial system. The adequacy of the corporate governance in SCB has a direct effect upon asset quality and operating efficiency as well as the stability and efficiency of the whole financial system. This paper makes an in-depth study into the characteristics and flaws of the corporation governance in SCB.This paper, guided by the theory of market economy and based on the approaches concerning civil and commercial laws, economics of money and banking, commercial bank management science, financial market science and Economics of institution, conducts a systematic and deep research into the corporate governance of the state-owned commercial banks by adopting such methods as positive description, normative analysis and contrastive analysis and by integrating theory with practice.With China's entrance into WTO and the signing of Sino-US and Sino-European trade agreement, unprecedented challenge was brought to financial institutions including banks. The institutional transition of corporate governance in SCB is to be exposed to an ever-changing financial environment. Therefore the causes and trend in the institutional transition need a careful study. After a thorough study of the modes and rules of corporate governance abroad and the institutional traditions and transitional economy in China as well as the particular problems of commercial banks, the target mode of the corporate governance in SCB is produced.
