The merger and acquisition wave is sweeping the Chinese market, thus more and more Chinese corporations are entering the world market and managing overseas. And many entrepreneurs want to play a great role in the course of globalization for the reason of searching for the advanced technology, opening up new distribution channels and occupying overseas market. However, the way of overseas M&A is full of obstacles and not easy to be successful. This thesis will just tell us the rough way of Chinese corporations'globalization by the case of the merger of BenQ and Siemens mobile.This thesis starts with the preface. Then, the second part is the introduction of the development of Chinese enterprises'overseas M&A through the data and examples. The third part is the case analysis. First of all, the brief introduction of the merger of BenQ and Siemens mobile, then the three reasons of the failure of that case: Firstly, not enough research of the merging objects; Secondly, too slow of launching the new products and the management capability should be improved; Thirdly, culture conflicts greatly and team members cannot get along with each other well. And in this part, we get the deep insight in the contrast with Sony Ericsson and TCL Mobile. The fourth part tells us the risk prevention of Chinese enterprises'overseas M&A, giving three suggestions using the enterprise development theory, enterprise market theory and Games theory: Firstly, doing comprehensive investigation and setting specific globalization strategy; Secondly, integration planning and execution. Thirdly, more concentration on culture conflicts and management. Lastly, conclusion: we should give objective and calm thinking on Chinese enterprises'globalization and successors should learn the lessons of the formers in order to be successful.
